About these Terms
These Terms & Conditions (“Terms”) apply to your use of www.salienz.co/ (the “Website”) and to any services you buy from Salienz (the “Services”). Salienz is an AI search visibility agency based in Kalyan (Mumbai Metropolitan Region), Maharashtra, India.
When you buy a package, the proposal, order form or invoice you accept (the “Order”) sets out what you are buying, the price and the dates. The Order and these Terms together form our agreement (the “Agreement”). If you use the Website or the Services, you agree to these Terms. If you do not agree, please do not use them.
Our packages
| Package | What it is | Fee (USD) |
|---|---|---|
| Foundation | What it is: One-time, fixed-scope AI visibility audit. No retainer, no commitment. | Fee (USD): $800, one time |
| Domination | What it is: 90-day engagement. The audit is included. | Fee (USD): $3,499 / month |
| Expansion | What it is: 90-day engagement. The audit is included. | Fee (USD): $5,499 / month |
Foundation is delivered within 7 business days of kickoff. If we expect it to take longer, we will tell you before you pay. What each package includes is described on the Website and confirmed in your Order.
Scope
For a 90-day engagement, we agree the scope with you in writing at the end of week two, based on what the audit finds (the “Scope Document”). From then on:
- There are no change orders. The fee you signed is the fee you pay.
- Placement costs within the agreed scope are included in the fee and are never billed separately.
- If you want something outside the Scope Document, we will quote it as a separate Order. It never changes the price of the current engagement.
Who does the work
The work is done by the Salienz team members you deal with on calls. Strategy, optimization and content are handled in-house and are not outsourced to content farms. Placements and community participation are carried out under real names, by people with existing standing in those communities.
What we guarantee, and what no one can
We guarantee the deliverables, quantities and deadlines set out in your Order and Scope Document (for example, a 100-prompt audit across five AI engines, delivered within 7 business days), and that our work will be carried out with reasonable skill and care. For 90-day engagements, we also guarantee a measured baseline and a monthly report that shows results as they are, including a flat or bad month.
We do not and cannot guarantee how ChatGPT, Perplexity, Gemini, Claude, Google AI Overviews or any other AI system or search engine will rank, cite, mention or describe you, or any level of traffic, leads or revenue. These systems are run by third parties, change without notice, and give answers that vary from one run to the next. Readings from tracking tools are samples, not certainties. The same applies to the editorial decisions of third-party publishers and community moderators.
Your responsibilities
To keep the engagement on schedule, you agree to:
- Give us access to Google Search Console, analytics accounts and brand assets within 5 business days of our request
- Review deliverables within 10 business days. If you neither approve a deliverable nor send specific feedback in that time, it is treated as accepted
- Publish the content we deliver or recommend (such as blog posts, landing pages and FAQ updates) on your own website within a reasonable time
- Make sure you have permission to give us access to any third-party accounts or data you share with us
- Keep your contact details up to date
6.1 Content & Publishing
Many recommendations only work once the content is live on your website. We write the assets included in your package; publishing them on your website is your team's responsibility. If you would rather we coordinate publishing directly with your marketing or content team, we agree that when the scope is set at the end of week two, and it is then part of the fee you signed, not a later add-on.
6.2 Delays
If access, approvals or publishing are late, the deadlines that depend on them move by the same number of days. This does not extend the 90-day term or change the fees. We are not responsible for any lack of improvement in AI visibility, search performance or business results that comes from recommended work not being approved or published.
Placements and community work
- Third-party publishers and platforms keep full editorial control. We cannot promise that a placement will stay live, keep its position or remain unchanged, unless your Order says otherwise.
- We follow the rules of each platform and community we work in, and we disclose sponsored or affiliated content wherever platform rules or advertising laws require it.
- We never post fake reviews, run fake accounts or engage in undisclosed astroturfing on your behalf.
- Community participation is carried out from the real accounts of the people doing it. Those accounts stay with them; the content created for you is yours under Section 12.
How we use AI
We use AI tools, including large language models, to help with research, analysis, prompt tracking and drafting. A person on our team reviews every AI-assisted deliverable before you receive it, and AI never makes strategic decisions about your business.
- We do not put personal data into AI tools.
- We will not knowingly put your confidential information into an AI tool that uses it to train its models.
- We never use your data to train models of our own.
AI output can contain mistakes. Our review is designed to catch them, but business decisions based on our recommendations remain yours.
Fees and payment
- Currency
- All fees are quoted and invoiced in USD. Clients in India may pay in INR at the prevailing exchange rate. Each party pays its own bank and transfer charges.
- Foundation
- 40% of the fee is paid at kickoff and the remaining 60% on delivery of the audit report.
- Domination and Expansion
- Each month of the 90-day term is invoiced at the start of that month, and payment is due within the first 7 days of the month.
- Foundation credit
- If you start a 90-day engagement within 60 days of receiving your Foundation audit, the $800 comes off your first month. The credit does not apply after 60 days, because the audit's baseline will have aged.
- Taxes
- We are not currently registered for GST, so no GST is charged on our invoices. If that changes, we will tell you in advance and apply GST only to invoices issued after the date of registration. Clients outside India are responsible for any taxes that apply in their own country.
- Late payment
- If an invoice is still unpaid 15 days after its due date, interest of 1.5% per month applies to the overdue amount, counted from the due date until it is paid.
- Paused work
- If an invoice is still unpaid 30 days after its due date, we will pause all work and activity for your brand, and tell you in writing that we have done so. Work resumes once the payment is received. Deadlines affected by the pause move by the same number of days; the pause does not extend the 90-day term.
Term, renewal and ending early
- Foundation
- A one-time engagement that ends when we deliver the audit report.
- Domination and Expansion
- A fixed 90-day term. There is no auto-renewal. The engagement ends at the end of the 90 days unless we both agree in writing to renew at the same scope or move to a different package.
- If you want to leave early
- You can end a 90-day engagement at any time by written notice. The month already under way stays payable; no later months are billed, and there is no early termination fee.
- If we need to end early
- We may end an engagement with 30 days' written notice. Any fees you have paid for work we have not yet done will be refunded.
- Ending for cause
- Either party may end the Agreement immediately by written notice if the other materially breaches it and does not fix the breach within 15 days of being told, becomes insolvent, or engages in illegal or fraudulent activity.
- Handover
- When an engagement ends for any reason, we will hand over everything produced for you, including drafts, research, prompt sets and tracking exports, within 10 business days. Fees for work already done remain payable. We will then return or securely delete your data within 30 days, as you choose, unless the law requires us to keep it.
- Events outside anyone's control
- Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, war, government action or major internet outages. If such an event lasts more than 30 days, either party may end the Agreement without penalty.
Refunds
- Audit
- If the audit delivers zero actionable findings, we will not charge the remaining 60% and will refund the 40% you paid at kickoff. Actionable findings are recommendations that could reasonably improve AI visibility, search performance, content discoverability or authority.
- Unstarted work
- If we end an engagement early, fees paid for work not yet done are refunded, as set out in Section 10.
- Timing
- Approved refunds are paid within 14 business days to the original payment method.
Ownership
12.1 What's yours
Everything we produce for you is yours, including if you leave: the audit report, the assets, the entity work, the placements and the raw data. Ownership of each deliverable passes to you once the fees for the period in which it was produced are paid. You may use, edit, share and build on it however you like, including with another agency. Your own website content, brand assets and data remain yours throughout.
12.2 What stays ours
We keep our general know-how and the internal tools, templates, prompt libraries and methods we use across clients, including the Salienz Score methodology. Where any of these are part of a deliverable, you have a permanent, royalty-free right to use them as part of that deliverable. You may not resell our internal tools or templates as a product or service of your own.
12.3 Our brand
Salienz™, the Salienz logo and Salienz Score™ are trade marks of Salienz. Please do not use them in a way that suggests we endorse something we have not endorsed.
Confidentiality
Both parties will keep confidential any non-public information received from the other during the engagement, and will use it only for the purposes of the Agreement. For you, this covers your business data, analytics and strategies. For us, it covers our internal methods and tools, and any non-public proposal or pricing terms.
- We will never share your confidential information with your competitors.
- These obligations continue for 3 years after the engagement ends.
- They do not limit your right to use or share the deliverables that are yours under Section 12.1, or anonymised sharing under Section 13.
- Either party may disclose confidential information where the law requires it.
Data protection
We handle personal data as described in our Privacy Policy. Where we process personal data on your behalf as part of the Services, our Data Processing Addendum (DPA) applies; ask us and we will send it for signature. In short, we do not sell, rent or trade personal data, we use it only to deliver the Services, we protect it with appropriate security measures, and we tell you without undue delay if a data breach affects your data.
Liability
16.1 Cap
To the fullest extent the law allows, each party's total liability arising from the Agreement is limited to the fees paid or payable under the Order that the claim relates to.
16.2 Exclusions
Neither party is liable for indirect or consequential loss, or for lost profits, revenue or business opportunities. We are not liable for:
- Changes to search engine or AI system algorithms, or inaccuracies in what AI systems say
- Actions of third parties, such as search engine penalties, publisher decisions or competitor activity
- Results lost because recommendations were not approved or implemented
16.3 What is not limited
Nothing in the Agreement limits liability for fraud or wilful misconduct, for death or personal injury caused by negligence, for breach of confidentiality, for your obligation to pay fees due, or for anything else that cannot be limited by law.
Indemnity
You agree to cover us against third-party claims arising from your website content or business practices, from changes you or others make to deliverables after we hand them over, or from your breach of a third party's terms (such as Google's guidelines).
Non-solicitation
During the engagement and for 12 months after it ends, you agree not to directly hire or engage any Salienz team member or contractor who worked on your account without our written consent.
Changes to these Terms
We may update these Terms from time to time and will post the new version on this page with a new “Last Updated” date. Changes apply to new Orders only. They never change the scope, fees or terms of an engagement already signed.
If our business changes form
If we restructure our business, for example by forming a company or LLP, we may transfer the Agreement to the new entity by giving you 15 days' written notice. The new entity will take on all our obligations, including confidentiality and data protection. Your scope, fees and terms will not change, and you agree to sign any reasonable document needed to complete the transfer.
Governing law and disputes
The Agreement is governed by the laws of India. If a dispute arises, both parties will first try to resolve it in good faith through direct discussion for 30 days from written notice of the dispute. If it is not resolved in that time, the courts at Thane, Maharashtra, India have exclusive jurisdiction, and both parties, including clients outside India, agree to that jurisdiction.
General
- Order of precedence
- If documents conflict, the Order and Scope Document decide scope, fees and dates; the DPA decides matters of personal data; these Terms decide everything else.
- Entire agreement
- The Agreement, together with the DPA where signed, is the entire agreement between us on its subject and replaces any earlier discussions.
- Independent contractor
- We provide the Services as an independent contractor. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship between us, and neither party can bind the other.
- Assignment
- You may not transfer the Agreement without our written consent. Section 20 covers transfers on our side.
- Severability
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Waiver
- Not enforcing a provision straight away does not waive the right to enforce it later.
- Notices
- Notices must be sent by email to the addresses in the Order (or below, for us) and are treated as received on the next business day.
